• Receipt of corporate minute book, including corporate articles, bylaws and minutes, cancelled and un-issued stock certificates, stock register, and corporate seal.
• Receipt of all issued and outstanding stock certificates from shareholders pending closing.
• Disbursement of sale proceeds to all shareholders according to instructions.
• File Change of Registered Agent with Secretary of State.
• Cancel surrendered stock certificates and record in stock register.
• Update minute book with resignation of board of directors and corporate officers.
